Terms & Conditions

These terms and conditions apply to the Heart Rate & Health Tracker app (hereby referred to as "Application") for mobile devices that was created by BAO Apps (hereby referred to as "Service Provider") as a Freemium service.

Acceptance of Terms

Upon downloading or utilizing the Application, you are automatically agreeing to the following terms. It is strongly advised that you thoroughly read and understand these terms prior to using the Application.

Unauthorized copying, modification of the Application, any part of the Application, or our trademarks is strictly prohibited. Any attempts to extract the source code of the Application, translate the Application into other languages, or create derivative versions are not permitted. All trademarks, copyrights, database rights, and other intellectual property rights related to the Application remain the property of the Service Provider.

Medical Disclaimer

IMPORTANT: THIS APPLICATION IS NOT A MEDICAL DEVICE

The Heart Rate & Health Tracker app is designed for wellness and informational purposes only. It is not intended to diagnose, treat, cure, or prevent any disease or medical condition.

  • Heart rate measurements are estimates and may not be medically accurate
  • HRV and Stress level calculations are for wellness tracking only
  • Manually entered data (blood pressure, blood sugar, blood oxygen) should be verified with medical devices
  • Do not use this Application for medical diagnosis or treatment decisions
  • Always consult qualified healthcare professionals for medical advice
  • In case of emergency, contact emergency services immediately

Service Modifications and Fees

The Service Provider is dedicated to ensuring that the Application is as beneficial and efficient as possible. As such, they reserve the right to modify the Application or charge for their services at any time and for any reason. The Service Provider assures you that any charges for the Application or its services will be clearly communicated to you.

Premium Features

The Application offers premium features through auto-renewable subscriptions:

  • Weekly Subscription: Access to all premium features including HRV, Stress analysis, Blood Pressure, Blood Sugar, and Blood Oxygen tracking, billed weekly with optional 3-day free trial
  • Yearly Subscription: Access to all premium features, billed annually

Subscription Terms

  • Payment will be charged to your iTunes Account upon confirmation of purchase
  • Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period
  • Your account will be charged for renewal within 24 hours prior to the end of the current period
  • You can manage subscriptions and turn off auto-renewal in your Account Settings after purchase
  • Any unused portion of a free trial period will be forfeited when you purchase a subscription

Cancellation and Refunds

All purchases are processed through the Apple App Store. To request a refund or manage your subscription:

  • Go to Settings > [Your Name] > Subscriptions on your iOS device
  • Contact Apple Support for refund requests
  • The Service Provider does not have access to process refunds directly
  • Refund eligibility is determined by Apple according to their policies

Data Storage and Security

The Application stores and processes personal data that you have provided to the Service Provider in order to provide the Service. It is your responsibility to maintain the security of your phone and access to the Application.

The Service Provider strongly advises against jailbreaking or rooting your phone, which involves removing software restrictions and limitations imposed by the official operating system of your device. Such actions could expose your phone to malware, viruses, malicious programs, compromise your phone's security features, and may result in the Application not functioning correctly or at all.

Health Data: All health measurements (heart rate, HRV, stress, blood pressure, blood sugar, blood oxygen) are stored locally on your device and are not uploaded to external servers. See our Privacy Policy for more details.

Third-Party Services

Please note that the Application utilizes third-party services that have their own Terms and Conditions. Below are the links to the Terms and Conditions of the third-party service providers used by the Application:

Internet Connection and Data Charges

Please be aware that the Service Provider does not assume responsibility for certain aspects. Some functions of the Application require an active internet connection, which can be Wi-Fi or provided by your mobile network provider. The Service Provider cannot be held responsible if the Application does not function at full capacity due to lack of access to Wi-Fi or if you have exhausted your data allowance.

If you are using the Application outside of a Wi-Fi area, please be aware that your mobile network provider's agreement terms still apply. Consequently, you may incur charges from your mobile provider for data usage during the connection to the Application, or other third-party charges. By using the Application, you accept responsibility for any such charges, including roaming data charges if you use the Application outside of your home territory (i.e., region or country) without disabling data roaming. If you are not the bill payer for the device on which you are using the Application, they assume that you have obtained permission from the bill payer.

User Responsibilities

Age Requirement

You must be at least 16 years of age to use the Heart Rate & Health Tracker Application. By using the Application, you represent and warrant that you are of legal age to form a binding contract with the Service Provider and meet the foregoing eligibility requirement. If you do not meet this requirement, you must not access or use the Application.

Account Security

You are responsible for maintaining the security of your device and access to the Application. The Service Provider cannot always assume responsibility for your usage of the Application. For instance, it is your responsibility to ensure that your device remains charged. If your device runs out of battery and you are unable to access the Service, the Service Provider cannot be held responsible.

Accurate Data Entry

When using manual entry features (blood pressure, blood sugar, blood oxygen), you are responsible for:

  • Ensuring accurate input of health data
  • Using proper medical devices to obtain readings
  • Understanding the limitations of self-monitoring
  • Consulting healthcare professionals when necessary

Camera-Based Heart Rate Measurement

For accurate heart rate measurements:

  • Place your finger fully covering the camera and flash
  • Remain still during measurement
  • Ensure adequate lighting
  • Keep your finger clean and dry

Device Compatibility

You acknowledge that you have reviewed the Application's system requirements and that your device meets these requirements. You are responsible for ensuring your device and operating system are compatible with the Application.

Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Illegal Conduct: Using the Application for any illegal purpose or in violation of any local, state, national, or international law.
  • Harassment or Abuse: Harassing, threatening, intimidating, or abusing any person or entity.
  • Intellectual Property Violations: Violating the intellectual property rights of the Service Provider or any third party, including copyrights, trademarks, patents, or trade secrets.
  • Malware Distribution: Uploading, distributing, or facilitating distribution of any viruses, trojans, worms, or other malicious code.
  • Reverse Engineering: Attempting to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Application.
  • Automated Access: Using any robot, spider, scraper, or other automated means to access the Application for any purpose without our express written permission.
  • Data Mining: Collecting or harvesting any personally identifiable information from the Application or other users.
  • Circumvention: Attempting to circumvent any content filtering techniques, security features, or access controls we employ.
  • Account Sharing: Sharing your Application access with unauthorized third parties.
  • False Information: Providing false, inaccurate, or misleading information in connection with your use of the Application.

Violations of these prohibited activities may result in immediate termination of your access to the Application without prior notice and without any refund of subscription fees.

Application Accuracy and Reliability

In terms of the Service Provider's responsibility for your use of the Application, it is important to note that while they strive to ensure that it is updated and accurate at all times, they do rely on third parties to provide information to them so that they can make it available to you. The Service Provider accepts no liability for any loss, direct or indirect, that you experience as a result of relying entirely on this functionality of the Application.

Measurement Accuracy: The Application's heart rate measurements are estimates based on camera sensor data and may not be as accurate as dedicated medical devices. HRV and stress calculations are derived metrics for wellness tracking only.

Updates and Termination

The Service Provider may wish to update the Application at some point. The Application is currently available as per the requirements for the operating system (and for any additional systems they decide to extend the availability of the Application to) may change, and you will need to download the updates if you want to continue using the Application.

The Service Provider does not guarantee that it will always update the Application so that it is relevant to you and/or compatible with the particular operating system version installed on your device. However, you agree to always accept updates to the Application when offered to you.

The Service Provider may also wish to cease providing the Application and may terminate its use at any time without providing termination notice to you. Unless they inform you otherwise, upon any termination:

  • The rights and licenses granted to you in these terms will end
  • You must cease using the Application, and (if necessary) delete it from your device
  • All locally stored health data will be removed when you delete the Application

Apple Health Integration

If you enable Apple Health integration:

  • The Application will request specific permissions to read and write health data
  • You can grant or revoke these permissions at any time in iOS Settings
  • All data syncing occurs locally on your device
  • The Service Provider does not have access to your Apple Health data
  • Your use of Apple Health is subject to Apple's terms and conditions

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE PROVIDER SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenue, data, or use
  • Any personal injury or property damage
  • Any medical costs, treatment expenses, or health-related damages
  • Any damages arising from reliance on Application measurements
  • Any damages arising from your use or inability to use the Application
  • Any damages arising from unauthorized access to or alteration of your data
  • Any damages arising from third-party services or content

Monetary Limitation

IN NO EVENT SHALL BAO APPS' TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE GREATER OF:

  • Two (2) times the amount you paid to BAO Apps for any annual subscription in the twelve (12) months preceding the claim, OR
  • Three (3) times the amount you paid to BAO Apps for any weekly subscription in the twelve (12) months preceding the claim, OR
  • Fifty United States Dollars ($50.00) if you have not paid any subscription fees

Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties that the Application will meet your requirements or be uninterrupted, secure, or error-free
  • Warranties regarding the accuracy, reliability, or completeness of any health measurements or information

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

Intellectual Property

All aspects of the Application, including but not limited to:

  • Source code and algorithms
  • Heart rate measurement technology
  • HRV and stress calculation methods
  • User interface design
  • Graphics, icons, and visual elements
  • Application name and branding

...are owned by the Service Provider and protected by copyright, trademark, and other intellectual property laws.

Changes to These Terms and Conditions

The Service Provider may periodically update their Terms and Conditions. Therefore, you are advised to review this page regularly for any changes. The Service Provider will notify you of any changes by posting the new Terms and Conditions on this page.

Changes will be communicated through:

  • Posting updated Terms on this page
  • Updating the "Effective as of" date
  • In-app notifications for significant changes

Your continued use of the Application after changes constitutes acceptance of the updated Terms.

Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

Dispute Resolution

Informal Resolution

Before filing any formal claim, you agree to contact us at support@bao-apps.com and attempt to resolve the dispute informally. We will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or BAO Apps may bring a formal proceeding.

Arbitration Agreement

You and BAO Apps agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Application (collectively, "Disputes") will be resolved by binding arbitration, except that each party retains the right:

  • To bring an individual action in small claims court
  • To seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights

Arbitration Rules

The arbitration will be conducted by the American Arbitration Association (AAA) under its rules and procedures, including the AAA's Consumer Arbitration Rules (as applicable), as modified by these Terms. The AAA's rules are available at www.adr.org or by calling 1-800-778-7879.

Arbitration Process

  • Payment of all filing, administration, and arbitrator fees will be governed by the AAA's rules
  • The arbitration will be conducted in English
  • The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim
  • The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court having jurisdiction

Class Action Waiver

YOU AND BAO APPS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and BAO Apps agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

Venue

Any arbitration hearings will take place in the county (or parish) where you live, unless we both agree to a different location. The parties agree to submit to the personal jurisdiction of any federal or state court located in the United States for any actions for which the parties retain the right to seek injunctive or other equitable relief in a court proceeding as set forth above.

Opt-Out Right

You have the right to opt out of binding arbitration within 30 days of first accepting these Terms by sending written notice of your decision to opt out to support@bao-apps.com. The notice must include your name and address and a clear statement that you want to opt out of this arbitration agreement.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Application, constitute the entire agreement between you and BAO Apps concerning the Application and supersede all prior or contemporaneous agreements, representations, warranties, and understandings with respect to the Application.
